Terms of Service

1. Acceptance of terms

By accessing or using the RoofSell platform and associated services (collectively, the "Services") provided by RoofSell, Inc. ("RoofSell," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of services

RoofSell provides a B2B SaaS platform for roofing contractors, including but not limited to: satellite-based roof area estimation, embeddable quote widgets, lead capture and CRM tools, analytics dashboards, and team management features.

3. Account registration

• You must be at least 18 years old to create an account.
• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at info@roofplot.com of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and billing

Access to paid features requires a valid subscription. By subscribing, you agree to the following:

• Subscriptions are billed monthly or annually as selected at checkout.
• All fees are non-refundable except as required by applicable law or as stated in our refund policy.
• We may change pricing with 30 days' notice; continued use after the notice period constitutes acceptance.
• Failure to pay may result in suspension or termination of your account.
• Payments are processed by Stripe. Your card data is handled directly by Stripe and is not stored on our servers.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws
• Resell, sublicense, or redistribute the Services without prior written consent
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Use the Services to send spam, unsolicited messages, or engage in deceptive practices
• Interfere with or disrupt the Services or servers/networks connected to the Services
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit malicious code, viruses, or harmful content

6. Intellectual property

All intellectual property rights in the Services, including software, design, trademarks, and content created by RoofSell, are owned by or licensed to RoofSell. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.

You retain ownership of all data and content you upload to the Services. By uploading content, you grant RoofSell a non-exclusive license to use that content solely to provide the Services.

7. Third-party services

The Services may integrate with or link to third-party services (e.g., Stripe for payments, OpenStreetMap for geocoding). RoofSell is not responsible for the practices or content of third-party services. Your use of those services is governed by their respective terms and privacy policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROOFPLOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Roof area estimates provided by the Services are approximations based on satellite imagery and automated detection. They do not replace a professional on-site inspection. RoofSell is not liable for any decisions made based on these estimates.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOFPLOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL ROOFPLOT'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ROOFPLOT IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless RoofSell and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may cancel your subscription at any time from your billing settings. RoofSell may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately.

12. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Boston, MA, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice within the platform. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance.
